SEC sues 38 entities over alleged false Form ADV filings: why a public record is not approval

The SEC alleges that 38 entities used materially false Form ADV filings to appear legitimate, while warning that an exempt reporting adviser is not an SEC-registered adviser.

The U.S. Securities and Exchange Commission announced 38 separate lawsuits on 27 August, alleging that entities made material misrepresentations in Forms ADV filed in 2025 and 2026. The agency says the filings created a false appearance of legitimacy as U.S. advisers and were used to attract retail investors. Several names use exchange or crypto terminology, making the cases directly relevant to trading-platform due diligence.

These are complaints, not final judicial findings. The SEC is seeking permanent and conduct-based injunctions and civil penalties, and says it removed the 38 exempt-reporting-adviser filings from its website.

A public filing is not an endorsement

An exempt reporting adviser, or ERA, is not an SEC-registered investment adviser. Its exemption concerns specified private-fund advisory activity; it does not authorise direct advisory services to individual retail investors. The SEC also says it does not issue registration certificates to ERAs or registered advisers.

According to the complaints, the filings shared patterns including false Colorado addresses, disconnected or unrelated phone numbers, near-identical ownership data and auditors that could not be found in public accountancy registries. Some websites allegedly displayed false SEC certificates, while some submissions were connected to overseas IP addresses.

The Axivon Exchange complaint, for example, alleges a false Denver address, a disconnected phone, an unverifiable auditor and claimed commodities registrations for which the SEC says it found no corresponding CFTC or NFA record. CryptoOrbit faces similar allegations. A court has not yet determined liability in either case.

Verification steps for traders

Match the legal entity on the contract, account-opening page, payment instruction and regulatory record—not merely the brand. Check the registration category and permitted activity: an ERA, registered investment adviser, broker-dealer, futures commission merchant and commodity trading adviser have different statuses.

Cross-check addresses, phone numbers, domains, controllers, auditors and beneficiary accounts. For claimed U.S. securities or derivatives permissions, compare SEC/IAPD records with FINRA BrokerCheck and NFA BASIC. A name in one database does not authorise every financial service. Stop if funds are directed to an unexplained personal account, unrelated company or wallet.

The key distinction is between filing, registration, permitted activity and product approval. They are not interchangeable. Due diligence should ask who filed, in what capacity, what the entity may actually do and where client money goes.

Until courts rule, the 38 defendants should be described only as entities charged by the SEC. The actionable warning is a cluster of unexplained inconsistencies across identity, contact details, auditors, regulatory categories and payment paths.
